Terms and conditions

Last updated: 5 October 2026

These terms apply to your use of zoomdirectmedia.com.au and to any services or products you buy from us. Please read them before engaging us or making a purchase.

1. Who we are

Zoom Direct Media is a sole trader business operated by Camelia Vasile.

In these terms, “we”, “us” and “our” mean Zoom Direct Media. “You” and “your” mean the person or business using our website, booking with us, or purchasing our services or products.

2. Accepting these terms

By using this website, booking an appointment, accepting a proposal or purchasing a product, you agree to these terms. If you don’t agree, please don’t use the site or engage us.

If you’re entering into an agreement on behalf of a company, you confirm you have authority to bind that company.

3. Using this website

You may use this website for lawful purposes only. You agree not to:

  • Interfere with the site’s operation or security
  • Attempt to gain unauthorised access to any part of it
  • Use automated tools to scrape or harvest content or data
  • Reproduce, republish or resell our content without written permission
  • Submit false information through our forms or booking system

We may suspend or restrict access to the site at any time, including for maintenance. We don’t guarantee uninterrupted availability.

4. Content on this website

The content on this site is provided for general information. It isn’t tailored advice for your situation, and it shouldn’t be relied on as a substitute for professional advice specific to your business.

We take care to keep information accurate and current, but we don’t warrant that it is complete, accurate or up to date at any given moment.

Where we link to third-party websites, we don’t control or endorse their content.

5. Bookings and appointments

Appointments are booked through our online scheduling system.

Confirmation. Your booking is confirmed when you receive a confirmation email. If you don’t receive one, the booking hasn’t been made.

Rescheduling. You can reschedule using the link in your confirmation email, up to [24] hours before the appointment.

Cancellations. Please give at least [24] hours’ notice if you need to cancel.

No-shows. If you don’t attend and haven’t given notice, we may decline to reschedule or may require prepayment for future bookings.

Our cancellations. If we need to cancel or reschedule, we’ll give you as much notice as we can and offer an alternative time.

Discovery calls and initial consultations are provided free of charge unless we tell you otherwise in writing.

6. Our services

We provide marketing services which may include search engine optimisation, website design and development, funnel and landing page builds, paid advertising management, content creation, email marketing and marketing automation.

Scope. The specific services, deliverables, timeframes and fees for your engagement will be set out in a written proposal, quote or statement of work. That document, together with these terms, forms our agreement. Where the two conflict, the proposal prevails.

Work outside scope. Anything not described in the proposal is out of scope. We’re happy to quote separately for additional work.

Changes. If you ask for changes that materially alter the scope, we’ll provide a revised quote before proceeding.

7. Fees and payment

Quotes. Quotes are valid for [30] days unless stated otherwise, and are in Australian dollars.

GST. Zoom Direct Media is not registered for GST, so no GST is charged on our fees. We will issue an invoice for each payment.

Deposits. Project work generally requires a deposit before we begin. We’ll confirm the amount in your proposal.

Invoices. Payment is due within [7] days of the invoice date unless agreed otherwise.

Retainers. Ongoing retainer work is invoiced in advance each month and continues until cancelled under clause 12.

Late payment. If an invoice is overdue, we may pause work until it’s paid. We’ll always tell you before we do. We may charge interest on overdue amounts at [the RBA cash rate plus 2%] per annum, calculated daily.

Third-party costs. Fees for third-party platforms are separate from our fees and are your responsibility. This includes advertising spend, hosting, domain registration, software subscriptions, stock imagery and licences. Where you ask us to pay these on your behalf, we’ll invoice them to you at cost.

8. Your responsibilities

To do our job we need you to:

  • Give us timely access to the accounts, platforms and systems the work requires
  • Provide content, information, approvals and feedback within reasonable timeframes
  • Ensure anything you supply to us — text, images, logos, data — doesn’t infringe anyone’s rights and is accurate
  • Keep your own backups of your website and data
  • Tell us promptly if your circumstances, goals or budget change

Delays. If work is held up because we’re waiting on you, timeframes shift accordingly and we’re not responsible for the delay. If an engagement stalls for more than [30] days awaiting your input, we may invoice for work completed to that point.

Credentials. Where you give us access to your accounts, you remain the owner of those accounts. We’ll use access only for the purposes of the engagement.

9. Results and performance

We provide our services with due care and skill, drawing on current best practice.

However, marketing outcomes depend on many factors outside our control — including search engine algorithms, advertising platform policies and pricing, competitor activity, market conditions, your pricing and offer, your sales process, and how quickly you act on recommendations.

We therefore don’t guarantee specific results. We don’t guarantee particular search rankings, traffic volumes, lead numbers, conversion rates, revenue or return on advertising spend. Any figures we discuss — including projections, examples, benchmarks or past results for other clients — are illustrative, not promises.

Nothing in this clause limits the consumer guarantees described in clause 14.

10. Intellectual property

Our material. We own the intellectual property in our methods, processes, templates, frameworks, tools and pre-existing materials. Nothing in our agreement transfers that ownership to you. Where our pre-existing material is incorporated into your deliverables, you receive a non-exclusive, perpetual licence to use it for your own business purposes.

Your deliverables. On full payment, you own the intellectual property in the final deliverables we create specifically for you — your website copy, your ad creative, your designs.

Before payment. Until an invoice is paid in full, we retain ownership of the relevant deliverables and may withhold delivery or transfer.

Your material. You keep ownership of everything you supply to us. You grant us a licence to use it as needed to deliver the services.

Portfolio. Unless you ask us in writing not to, we may describe and display the work we’ve done for you in our portfolio, case studies and marketing. We won’t disclose your confidential information or commercially sensitive figures without your consent.

11. Confidentiality and your data

Confidentiality. Each of us agrees to keep the other’s confidential information confidential and to use it only for the purposes of the engagement. This doesn’t apply to information that is public, independently developed, or required to be disclosed by law.

Data in your systems. Where our work involves your customer relationship management system, email platform, advertising accounts or similar, you remain responsible for that data and for your own privacy obligations to the people in it. We access it only on your instruction and only as needed to perform the services. We don’t take copies of your customer databases, and we don’t use your contacts for our own marketing.

Our own data handling is described in our Privacy Policy.

12. Cancellation and termination

Retainers. Either of us may end an ongoing retainer by giving [30] days’ written notice. Fees for the notice period remain payable.

Projects. If you cancel a project after work has started, you remain liable for work completed and for any third-party costs already committed. Deposits are non-refundable to the extent we’ve performed work, in accordance with our Refund and Returns Policy.

Termination for breach. Either of us may terminate immediately if the other seriously breaches these terms and doesn’t fix it within [14] days of being asked to.

On termination. We’ll invoice for work performed to the termination date. On payment, we’ll hand over completed deliverables and transfer or revoke access as you direct.

13. Digital products

This clause applies when you purchase a downloadable digital product such as a template, guide or toolkit.

Delivery. Digital products are delivered electronically, usually immediately after payment, by download link or email. Delivery is complete when the link is sent to the email address you provided. Please check your spam folder before contacting us about a missing delivery.

Licence. When you buy a digital product you receive a non-exclusive, non-transferable licence to use it for your own business or personal purposes. Unless we state otherwise in writing, you may not:

  • Resell, redistribute, sublicense or give it away
  • Share it with people outside your organisation
  • Publish it or make it publicly available
  • Claim it as your own original work
  • Use it to create a competing product for sale

What you may do. You may adapt and customise the product for your own use, and use it in work you deliver to your own clients, provided you don’t supply the unmodified product to them as a standalone file.

Technical requirements. Product descriptions state what software you need. Make sure you can open and use a file before buying — we can’t accept a return because you don’t have the right software.

Refunds for digital products are covered in our Refund and Returns Policy.

14. Australian Consumer Law

Our services and products come with guarantees that cannot be excluded under the Australian Consumer Law.

For services, you’re entitled to have them supplied with due care and skill, fit for the purpose you told us about, and within a reasonable time. For goods, you’re entitled to goods of acceptable quality that match their description.

If we fail to meet a consumer guarantee, you may be entitled to a remedy — including a refund, a re-supply, or compensation for reasonably foreseeable loss. For major failures you can choose between a refund and a re-supply.

Nothing in these terms excludes, restricts or modifies any right or remedy you have under the Australian Consumer Law. Where any part of these terms would do so, that part doesn’t apply.

15. Limitation of liability

To the maximum extent permitted by law, and subject always to clause 14:

  • Our total liability arising out of or in connection with our agreement is limited, at our option, to re-supplying the relevant services or paying the cost of having them re-supplied, or to the total fees you paid us in the [6] months before the claim arose
  • We’re not liable for indirect or consequential loss, including loss of profit, loss of revenue, loss of anticipated savings, loss of data, loss of goodwill, or business interruption
  • We’re not liable for loss caused by third-party platforms, including changes to algorithms, policies, pricing or availability, account suspensions, or platform outages
  • We’re not liable for loss arising from inaccurate or incomplete information you provided, or from your failure to act on our recommendations

16. Indemnity

You indemnify us against claims, losses and costs arising from material you supplied to us infringing a third party’s rights, your breach of these terms, or your breach of any law in connection with the services.

17. Matters outside our control

Neither of us is liable for failing to perform because of events outside reasonable control — including natural disasters, pandemics, internet or utility failure, third-party platform outages, government action or industrial action. We’ll tell you promptly and resume as soon as we reasonably can.

18. If something goes wrong

Please contact us first at admin@zoomdirectmedia.com.au. Most issues are resolved quickly by talking.

If we can’t resolve it between us, we both agree to attempt mediation in good faith before starting court proceedings, unless urgent relief is needed. Neither of us has to mediate for more than [30] days before taking further steps.

19. General

Governing law. These terms are governed by the laws of New South Wales, Australia, and we each submit to the non-exclusive jurisdiction of the courts of New South Wales.

Whole agreement. These terms, together with any written proposal and our Privacy Policy and Refund and Returns Policy, are the entire agreement between us.

Changes. We may update these terms. The version published on our website when you engage us or make a purchase is the one that applies to that transaction. Material changes to an ongoing engagement will be agreed with you.

Severability. If part of these terms is unenforceable, the rest continues to apply.

No waiver. If we don’t enforce a right immediately, we haven’t given it up.

Assignment. You may not transfer your rights under our agreement without our written consent.
